Terms of Service

Important: Please read Section 15 carefully. It contains a mandatory arbitration agreement and class action waiver that significantly affects your legal rights, including your right to file a lawsuit in court.

1. Introduction and Acceptance

These Terms of Service ("Terms") are a legally binding agreement between you and Rendez, Inc. ("Rendez," "we," "us," or "our"), a Delaware corporation. By creating an account, downloading the app, or using the Rendez mobile application or website at getrendez.com (together, the "Service"), you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, do not create an account or use the Service.

2. Account Eligibility and Your Responsibilities

To use Rendez, you must:

By creating an account, you represent and warrant that all of the above are true and will remain true while you use the Service. If any of these requirements cease to be met, your authorization to access and use the Service is automatically revoked and you must immediately delete your account.

3. The Rendez Service

Rendez is an invite-based dating platform. Users create specific date invites — for example, "Coffee at Blue Bottle, Saturday at 10am" — that other users can discover and request to join. Discovery on Rendez happens exclusively through invites. There is no profile browsing or swiping.

a. Invite and Request Limits

An invite is "active" if it has a future event date and has not been cancelled or completed.

b. Reliability Score

Rendez displays a Reliability Score badge on each user's public profile, invite cards in the discovery feed and map view, and in the request management screen. The Reliability Score reflects a user's attendance history for confirmed date arrangements on the platform over a rolling 90-day period.

Score display: Users with fewer than 3 completed date arrangements are shown as "New Member." Users with sufficient history are assigned a reliability tier based on their attendance record. Tier labels may change over time.

Rendez reserves the right to use the Reliability Score — and any other platform quality signals — to determine how your invites, requests, and profile are displayed or ranked for other users, in its sole discretion. The Reliability Score is a platform quality tool based on platform activity records; it is not a verified certification of any individual's conduct, character, or intentions. Rendez does not guarantee the accuracy of Reliability Score calculations and Reliability Scores are not subject to appeal. Rendez is not responsible for any consequences you experience as a result of your Reliability Score.

Note: In a future update, non-response to the post-date attendance prompt may also be recorded as a signal. We will update these Terms with at least 14 days' notice before any such change takes effect.

Rendez does not guarantee matches, dates, or any particular outcome. The platform facilitates connections — what happens from there is up to you.

4. Content

a. Your Content

You are solely responsible for all content you submit, post, or transmit through the Service ("Your Content"), including your profile photos, profile text, invite descriptions, and messages.

Other users' profiles, photos, invite listings, and messages are their content ("Member Content"), not ours. Rendez does not endorse, verify, or guarantee the accuracy of Member Content. You use Member Content at your own risk.

c. Our Content

All software, design, interface elements, text, graphics, logos, and other materials created by or for Rendez ("Our Content") are owned by Rendez or its licensors and are protected by applicable intellectual property law. You may not copy, modify, distribute, sell, sublicense, or create derivative works from Our Content without our prior written consent.

Your safety in any in-person interaction arranged through Rendez is your responsibility. Rendez facilitates connections between users; we are not present at or responsible for what occurs during in-person meetings.

7. Rights Rendez Grants You

Subject to your compliance with these Terms, Rendez grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes.

You may not sublicense, transfer, sell, or assign this license. All rights not expressly granted to you are reserved by Rendez.

8. Rights You Grant Rendez

a. Content License

By submitting Your Content to the Service, you grant Rendez a worldwide, royalty-free, perpetual, transferable, sublicensable license to host, store, use, copy, display, reproduce, adapt, edit, publish, translate, modify, reformat, incorporate into other works, advertise, distribute, and otherwise make available Your Content in connection with operating, improving, promoting, and providing the Service.

This license is non-exclusive, except that it is exclusive with respect to derivative works created through use of the Service — for example, screenshots of the Service that include Your Content.

You authorize Rendez — but we are not obligated — to act on your behalf with respect to third-party unauthorized use of Your Content outside the Service, including by sending DMCA takedown notices.

This license survives the termination or deletion of your account to the extent necessary for Rendez to: (i) fulfill obligations to other users (such as message delivery that occurred prior to deletion); (ii) maintain anonymized or aggregated data derived from Your Content; and (iii) protect its legal rights.

b. AI and Machine Learning

You acknowledge and agree that Rendez may use Your Content — including profile photos, invite data, and usage patterns — to train, develop, adapt, modify, and improve the Service and Rendez's recommendation algorithms and AI/ML systems. You acknowledge that AI systems trained on data may not be able to "unlearn" specific inputs after training has occurred.

c. Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Rendez a perpetual, irrevocable, worldwide, royalty-free right to use, incorporate, and commercialize that feedback without restriction or compensation to you.

9. Subscriptions, Purchases, and Refunds

a. Rendez+

Rendez offers a premium subscription ("Rendez+") that unlocks additional features, including increased active invite limits, increased daily request limits, Commits, advanced Discover filters, request read receipts (Rendez+ subscribers can see when an invite creator has viewed their join request), one complimentary 3-hour Boost credit per billing cycle redeemable on any single active invite, and other features as described in the app. Features included in Rendez+ may be added, modified, or removed over time; we will provide reasonable notice of any material changes to the feature set. Rendez+ subscriptions automatically renew at the end of each billing period unless cancelled before renewal.

Founding Member Offer: Rendez may offer a time-limited Founding Member pricing tier at a reduced monthly rate. If you purchase a Rendez+ subscription under a Founding Member offer, your subscription price is locked at the rate displayed at the time of purchase for an initial 12-month period. After the 12-month period, your subscription will automatically renew at the then-current standard Rendez+ rate unless you cancel before renewal. Founding Member pricing is available only while slots remain — once all Founding Member slots are filled, the offer will no longer be available to new subscribers. Founding Member subscriptions are otherwise subject to all terms applicable to Rendez+ subscriptions in this Section.

b. Boosts

Rendez offers a 3-hour Boost as a consumable purchase, available individually or in bundles of 3 or 5 as displayed in the app. When you activate a Boost on one of your active date invites, that invite is (1) pinned to the top of the Discover feed and (2) displayed in a "Featured Invites" section above the standard Discover feed for 3 hours from the time the Boost activates. The invite also receives a visually distinct map pin treatment for the same duration. A Boost applies to a specific invite — it does not apply to your account or profile generally.

Each Boost in a bundle is a separate credit, consumed individually upon activation. Unused purchased Boost credits do not expire for the life of your account. Boosts cannot be transferred, paused, or refunded after purchase.

To maintain the quality and integrity of the discovery feed, Rendez limits the number of simultaneously active Boosts displayed across the platform. If this limit is reached when you activate a Boost, your Boost will enter a queue and activate automatically when capacity becomes available. Queue wait time is not guaranteed. The 3-hour active duration begins when your Boost activates from the queue, not when you initiate the purchase.

Rendez+ subscribers receive one complimentary 3-hour Boost credit per billing cycle, as described in Section 9a.

Rendez may introduce additional Boost durations or pricing tiers in the future. We will notify you of any changes to Boost offerings at least 14 days before they become available.

c. Commits

Commits pin your request to the top of an invite creator's request queue and signal strong interest. Commits are available exclusively to active Rendez+ subscribers. Subscribers receive a set number of Commits per week as part of their subscription; weekly Commits that are not used within the applicable week are forfeited. A Commit is consumed upon use and is non-refundable. Rendez may introduce standalone Commit purchases available to non-subscribers in the future; any such offering will be reflected in an updated version of these Terms with at least 14 days' notice.

d. Pricing

Prices for Rendez+ subscriptions, Boosts, and Commits are displayed in the app before purchase. Prices may vary based on your region, subscription length, bundle size, promotional offers, past purchases, account activity, and other factors. Rendez reserves the right to change pricing at any time with reasonable notice.

e. Payment

Your subscription or payment method will be charged automatically per the billing cycle until you cancel.

f. Cancellation

Cancelling via Rendez: Go to Profile > Settings > Manage Subscription > Cancel. If you cancel, you will retain access to Rendez+ features until the end of the current billing period, after which your subscription will not renew.

Cancelling via App Store or Google Play: If your subscription was purchased through the App Store or Google Play, you must cancel through that platform — Rendez cannot process those cancellations on your behalf.

Important: Cancelling your subscription does not delete your account. To delete your account, see Section 10.

If you delete your account while holding an active Rendez+ subscription purchased directly through Rendez, your subscription is cancelled immediately upon deletion and you lose access to any remaining subscription benefits without refund. Subscriptions purchased through the App Store or Google Play must be cancelled separately through those platforms.

g. Refunds

All purchases are generally final and non-refundable. Boosts and other virtual items are strictly non-refundable once purchased, regardless of whether they were used.

Statutory refund rights — special states: If you are a resident of Arizona, California, Colorado, Connecticut, Illinois, Iowa, Minnesota, New York, North Carolina, Ohio, Rhode Island, or Wisconsin, you may cancel a new subscription without penalty at any time before midnight of the third business day following the subscription date.

Purchases through Apple App Store: Refund requests are handled by Apple, not Rendez. To request a refund, visit reportaproblem.apple.com or contact Apple Support.

Purchases through Google Play: Refund requests are handled by Google. Visit the Google Play Help Center.

Direct purchase refund requests: Mail or deliver a signed, dated written notice stating that you are cancelling your purchase. Include your name, the email address or phone number associated with your account, and your order number. Send to:

h. Chargebacks

If you initiate a chargeback or reverse a payment, Rendez may terminate your account immediately in its sole discretion.

10. Account Termination

By You

You may delete your account at any time at Profile > Settings > Delete Account. Account deletion removes your access to the Service immediately. Your data will be handled per the retention schedule in our Privacy Policy.

Rendez reserves the right to suspend, restrict, or permanently terminate your account at any time, without prior notice or liability, if we reasonably believe you have:

We may use any technical, legal, or operational means available to enforce these Terms. We are not obligated to disclose the reason for termination if doing so could compromise the safety or privacy of other users.

No Refund on Termination for Cause

If we terminate your account for a violation of these Terms, you are not entitled to a refund for any unused subscription period or unused virtual items.

Survival

Termination of your account does not affect the following provisions, which survive: Sections 4(a), 5, 8, 11, 12, 13, 14, 15, 16, and 18.

11. No Background Check Disclaimer

Rendez does not conduct criminal background checks or identity verification checks on its users.

Rendez uses AWS Rekognition to verify that profile photos appear to depict a real person and to detect inappropriate content. This photo verification process does not verify your legal identity, confirm your name, check your criminal history, or establish your intentions.

Rendez makes no representations or warranties regarding the conduct, identity, health, physical condition, intentions, legitimacy, or truthfulness of any user.

Rendez reserves the right — at its sole discretion — to conduct sex offender register searches or other public records searches at any time using available public records. If Rendez decides to conduct any screening through a consumer reporting agency, you hereby authorize Rendez to obtain and use a consumer report about you for that purpose.

You are solely responsible for your interactions with other users, including any in-person meetings.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

Rendez does not warrant that: (a) the Service will meet your requirements or expectations; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) any information obtained through the Service will be accurate or reliable; (d) defects in the Service will be corrected; or (e) any user you interact with through the Service will be who they claim to be.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Rendez and its affiliates, officers, directors, employees, licensors, and service providers shall not be liable for any indirect, consequential, exemplary, incidental, special, punitive, or enhanced damages, including:

Arising out of or relating to: (i) your access to, use of, or inability to access or use the Service; (ii) the conduct or content of any other user, on or off the Service; or (iii) unauthorized access to or alteration of your account or your content — even if Rendez has been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, Rendez's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) $100 USD or (b) the total amount you paid to Rendez in the 24-month period immediately preceding the date you first file a legal claim.

These limitations apply regardless of the legal theory on which the claim is based (contract, tort, statute, or otherwise) and even if any remedy provided herein fails of its essential purpose. Some jurisdictions do not permit certain limitations on liability, so some or all of the above limitations may not apply to you.

Nothing in this Section limits Rendez's liability for: (i) death or personal injury caused by Rendez's own gross negligence or willful misconduct; (ii) fraud or fraudulent misrepresentation by Rendez; or (iii) any liability that cannot be excluded or limited under applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Rendez and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

15. Dispute Resolution and Arbitration

Please read this section carefully. It waives your right to file a lawsuit in court, your right to a jury trial, and your right to participate in a class action.

a. Informal Resolution First

Before filing any legal proceeding, you agree to contact Rendez at legal@getrendez.com and provide us with 30 days to attempt to resolve the dispute informally. Your notice must describe the nature and basis of the claim and the specific relief sought. This informal resolution process is a prerequisite to arbitration. The statute of limitations applicable to your claim is tolled during this 30-day period.

b. Individual Arbitration; Class Action Waiver; Jury Trial Waiver

If the dispute is not resolved informally within 30 days:

You and Rendez each agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or the Service — including the validity, enforceability, or scope of this arbitration agreement — shall be resolved exclusively through binding, individual arbitration.

By agreeing to arbitration, you waive your right to a trial by jury.

You and Rendez each waive the right to participate as a plaintiff or class member in any class action, class-wide arbitration, consolidated arbitration, or any other representative proceeding. No arbitration may be consolidated with any other arbitration without the written consent of all parties. The arbitrator may not preside over any form of class or representative proceeding.

If a court of competent jurisdiction determines that the class action waiver above is unenforceable with respect to a particular claim or set of claims, those claims shall be litigated in court as provided in Section 16, and all other claims shall remain subject to arbitration on an individual basis.

c. Exceptions

This arbitration agreement does not apply to:

  1. Claims that qualify for resolution in small claims court in your jurisdiction, provided the matter remains on an individual basis
  2. Disputes covered by the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021 (Pub. L. 117-90)
  3. Applications for emergency injunctive or equitable relief to prevent imminent and irreparable harm

d. Arbitration Rules and Procedures

Arbitration shall be administered by National Arbitration and Mediation ("NAM") under its applicable Consumer Arbitration Rules, available at www.namadr.com. The Federal Arbitration Act governs the interpretation and enforcement of this Section.

e. Arbitration Fees

For claims under $10,000, Rendez will pay all NAM filing, administrative, and arbitrator fees, unless the arbitrator determines that your claim is frivolous or brought in bad faith. For claims of $10,000 or more, fees will be allocated per NAM's Consumer Arbitration Rules.

f. Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to legal@getrendez.com within 30 days of the date you first accept these Terms. Your opt-out notice must include your full name, the email address or phone number associated with your account, and a clear statement that you wish to opt out of the arbitration agreement. Opting out does not affect any other provision of these Terms.

g. Mass Arbitration

If 25 or more substantially similar claims are filed against Rendez at the same time or in close succession by the same or coordinated counsel ("Mass Filing"), the following process applies: (i) the parties and NAM will work together to group the claims into batches of no more than 25 claims per batch; (ii) the first batch will proceed to arbitration as bellwether proceedings; (iii) the outcome of the bellwether proceedings will be used to facilitate resolution of the remaining claims.

h. Future Changes

If Rendez makes a material change to this Section, we will notify you. You may opt out of the updated terms within 30 days of notice by contacting legal@getrendez.com.

16. Governing Law and Venue

These Terms, the Privacy Policy, and any disputes arising out of or relating to either or to the Service are governed by the laws of the State of Delaware, without regard to conflict of law principles, except that the Federal Arbitration Act governs all matters relating to arbitration under Section 15.

Subject to Section 15, any dispute not subject to arbitration shall be resolved exclusively in the state or federal courts located in Delaware, and you and Rendez each consent to personal jurisdiction in those courts and waive any objection to venue.

17. DMCA and Copyright

Rendez respects intellectual property rights. If you believe that content on the Service infringes your copyright, you may submit a notice to our designated DMCA agent:

Your notice must include, under penalty of perjury:

  1. A physical or electronic signature of the copyright owner or an authorized agent
  2. Identification of the copyrighted work claimed to have been infringed
  3. Identification of the allegedly infringing material and its location on the Service
  4. Your contact information (name, address, phone, email)
  5. A statement that you have a good faith belief that the use is not authorized
  6. A statement that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner

We will respond to valid DMCA notices and may remove or disable access to infringing content.

California: Under California Civil Code § 1789.3, California users may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

Illinois: Rendez collects biometric information (facial scan data) from Illinois residents through its photo verification process, as required by the Illinois Biometric Information Privacy Act (BIPA, 740 ILCS 14). By using the photo verification feature, Illinois residents consent to Rendez's collection, use, and storage of biometric identifiers as described in the Privacy Policy. Rendez retains biometric data only for the period described in the Privacy Policy's retention schedule, does not sell or profit from biometric data, and uses it only for identity verification and content moderation. For BIPA-related questions, contact privacy@getrendez.com.

New Jersey: Notwithstanding any other provision of these Terms, the limitation of liability in Section 13 does not apply to damages caused by Rendez's negligence, recklessness, or intentional misconduct.

Texas: Rendez collects biometric information (facial scan data) from Texas residents through its photo verification process, as required by the Texas Business & Commerce Code Chapter 503. By using the photo verification feature, Texas residents consent to Rendez's collection and use of biometric identifiers for identity verification and content moderation purposes only. Rendez does not sell or profit from biometric identifiers and retains biometric data only for the period described in the Privacy Policy's retention schedule.
